Welcome to PriceMyPlate! These Terms of Service ("Terms") govern your use of the PriceMyPlate web application operated by Ojala Gardens LLC ("Company," "we," "us," or "our"). By accessing or using PriceMyPlate, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using PriceMyPlate, you confirm that you are at least 18 years old and agree to comply with these Terms. If you do not agree, please do not use our service.

2. Description of Service

PriceMyPlate is a food costing and recipe management application that helps restaurant professionals:

  • Track ingredient costs and suppliers
  • Calculate recipe costs
  • Determine menu pricing recommendations
  • Upload and process invoices using AI technology

3. Account Registration

To use PriceMyPlate, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your password
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

PriceMyPlate offers the following tiers:

  • Free: Limited access with usage caps on AI scans and recipes.
  • Pro: Unlimited recipes, AI scans, plates, and menu costing.
  • Enterprise: Full access including multi-location and team features.

Paid subscriptions are billed monthly or yearly through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

5. Acceptable Use

You agree NOT to:

  • Use the service for any illegal purpose
  • Upload malicious files, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Abuse, harass, or harm other users
  • Use automated systems to excessively access the service
  • Reverse engineer or copy our software
  • Resell or redistribute the service without permission
  • Upload content that infringes intellectual property rights

6. User Content

You retain ownership of the data you input into PriceMyPlate (ingredients, recipes, uploaded documents). By using our service, you grant us a limited license to process, store, and display this data solely to provide the service to you.

You are responsible for ensuring you have the right to upload any documents (such as invoices) and that they do not violate any third-party rights.

7. AI Processing

PriceMyPlate uses artificial intelligence (Anthropic's Claude) to extract data from uploaded documents. You acknowledge that:

  • AI-extracted data may contain errors and should be verified
  • We are not responsible for inaccuracies in AI processing
  • Uploaded documents are sent to third-party AI providers for processing
  • You should review all extracted data before relying on it for business decisions

8. Pricing and Cost Calculations

PriceMyPlate provides cost calculations and pricing recommendations as informational tools only. You acknowledge that:

  • Calculations are based on the data you provide
  • We do not guarantee the accuracy of any calculations
  • Pricing decisions are your sole responsibility
  • We are not liable for business decisions based on our calculations

9. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted access. We may temporarily suspend service for maintenance, updates, or unforeseen circumstances. We are not liable for any losses due to service interruptions.

10. Intellectual Property

PriceMyPlate, including its design, features, and code, is owned by Ojala Gardens LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of our service without written permission.

11. Termination

We may suspend or terminate your account if you violate these Terms or engage in abusive behavior. You may delete your account at any time. Upon termination, your right to use the service ends, and we may delete your data.

12. Disclaimer of Warranties

PriceMyPlate IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OJALA GARDENS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF PriceMyPlate.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Ojala Gardens LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Arizona, USA. Any disputes shall be resolved in the courts of Arizona, and you consent to the jurisdiction of such courts.

16. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes by posting a notice on our website or sending an email. Continued use of PriceMyPlate after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
